Audit Committee: Mergers and Acquisition – A spring board with challenging issues
คณะกรรมการตรวจสอบ : การซื้อและควบรวมกิจการ – ก้าวกระโดดที่ท้าทาย

Growth in Asia and AEC countries has been witnessed over the past few years. Various forms of integration and acquisitions of businesses have brought thoughts into the pre and post integration aspects within the Parent company as well as its Group i.e. business models, group restructurings and shareholders’ interests etc. The Audit Committee has faced challenges as the Company has the expansion path covering but not limit to quality of targets, models of expansion, tax, financial reporting, governance and compliance.

The knowledge and lessons that KPMG has accumulated as far as mergers and acquisitions could be of your benefit to effectively fulfill roles and responsibilities expected by the Board, regulators and other stakeholders.

ในหลายปีที่ผ่านมา เศรษฐกิจในทวีปเอเซียและกลุ่มประเทศอาเซียนได้มีการขยายตัวอย่างรวดเร็ว บริษัทได้มีการเข้าซื้อและควบรวมกิจการในรูปแบบต่างๆ ทำให้เกิดคำถามขึ้นถึงวิธีการปฎิบัติที่ถูกต้องทั้งก่อนและภายหลังการซื้อและควบรวมกิจการทั้งในมุมของบริษัทใหญ่ และกลุ่มบริษัท ในเรื่องดังต่อไปนี้ เช่น โมเดลธุรกิจ การปรับโครงสร้างกลุ่มบริษัทและผลประโยชน์สูงสุดของผู้ถือหุ้น เป็นต้น คณะกรรมการตรวจสอบควรเข้าไปเกี่ยวข้องอย่างไรต่อก้าวกระโดดที่มีความท้าทายเป็นอย่างยิ่งทั้งในเรื่องของ คุณภาพของกลุ่มเป้าหมาย โมเดลการขยายตัวทางธุรกิจ ภาษี การรายงานทางการเงิน บรรษัทภิบาลและการปฏิบัติตามกฎระเบียบต่าง ๆ
